B2B Terms of Sale

These B2B Terms of Sale apply to purchases by business customers ("Customer") from SortaHub. They add to, and where inconsistent for business customers prevail over, our general Terms & Conditions. They apply to the exclusion of any purchase-order or other terms the Customer seeks to impose, unless expressly agreed by SortaHub in writing.
1. Quotes & orders
Quotes are invitations to order and are valid for the period stated (or 14 days if none is stated). A binding contract forms when SortaHub accepts an order or issues an invoice. Volume pricing and lead times may be quoted per order.
2. Prices & taxes
Prices are in CAD and exclusive of taxes, shipping, and duties unless stated. Applicable taxes are added. We may correct manifest errors in pricing or specifications.
3. Payment
Unless credit terms are agreed in writing (see our B2B Credit Account Terms), payment is due before dispatch per our Payment Terms. Overdue amounts may accrue interest and collection costs, and we may suspend deliveries while amounts are outstanding.
4. Delivery, title & risk
Delivery dates are estimates and time is not of the essence unless agreed in writing. Risk passes on delivery; title to goods remains with SortaHub until payment is received in full. The Customer must inspect goods on delivery and notify shortages or visible damage promptly.
5. Returns for business customers
Business returns are by prior agreement and may be subject to a restocking fee and return-shipping costs. Custom, special-order, and clearance items are non-returnable except where faulty or not as described. Faulty or incorrect goods are handled under our Return & Refund Policy.
6. Warranties
Goods are supplied with any manufacturer warranty that applies. Except as required by law, and to the extent permitted for business customers, SortaHub excludes implied warranties and conditions. Our responsibility for defective goods is limited to replacement, repair, or refund of the affected goods.
7. Limitation of liability (business customers)
To the maximum extent permitted by law, SortaHub is not liable to a business Customer for loss of profit, business, goodwill, or any indirect or consequential loss. Our total liability arising from an order will not exceed the price paid for the goods giving rise to the claim. Nothing limits liability that cannot be limited by law.
8. Force majeure
SortaHub is not liable for delay or failure to perform caused by events beyond its reasonable control, including supplier failure, carrier disruption, or acts of government.
9. Governing law
These terms are governed by the laws of Ontario and the federal laws of Canada applicable there, and the courts of Ontario have jurisdiction.
